GENERAL TERMS AND CONDITIONS

DIRECT SEARCH AND STANDARD ASSIGNMENTS

1.DIRECT SEARCH FEE SCALES

For searching suitable candidates we will bill search fees which vary, according to the difficulty of the assignment , between GBP 3,243.00 GBP 12,975.00 and which are determined at the assignment discussion. This fee includes all costs incurred in carrying out the assignment except for assessment testing, psychological opinions and any advertising costs.

If a contract of employment is signed with one of our recommended candidates, then we will bill an additional fee of 20% of the annual gross salary (including any 13th month salary and any other compensation) .

Our right to a fee also applies if a candidate recommended by us signs a contract of employment at a later date, up to a maximum of one year.

2.STANDARD FEE SCALES

Our services are charged on a strict performance basis.We have a right to a fee only when a contract of employment is signed with a candidate recommended by us and is calculated as follows :

Yearly gross salary Fee

from	GBP 71,350.00	up to	GBP 96,640.00	19%
from	GBP 96,641.00	up to	GBP 129,075.00	25%
over	GBP 129,075.00			30%

The above fee does not include advertising, graphological assessments , psychological and ability testing. These will be billed at cost or on a per hour basis.

Our right to a fee also applies if a candidate recommended by us signs a contract of employment at a later date, up to a maximum of one year.

3.CONSULTANCY FEES

Management consultancy assignments will be billed on an hourly basis at a fee of GBP 130.00 per hour or GBP 1,040.00 per day.

4.PAYMENT TERMS

Assignment acceptance fee

The assignment acceptance fee is due on acceptance of the assignment. It will be billed upon confirmation of acceptance of the assignment and is payable within 10 days.

Performance-based fees

Will be billed as soon as a contract of employment has been signed with a candidate recommended by us and is payable within 10 days

Out-of-pocket expenses

Out-of-pocket expenses will be billed together with the Performance-based fees or Consultancy fees and are payable without deduction within 1O days

Consultancy fees

Consultancy fees will be billed monthly and are payable without deduction within 10 days
